Terms and Conditions of Use — Got Ride?

Company: Got Ride? LLC ("The Company")
Please read these Terms and Conditions of Use (hereinafter, the "Terms") carefully before registering, downloading, or using the mobile application, website, or technological platform of Got Ride? (hereinafter, the "Platform"). By creating an account and using the services, you expressly and unreservedly agree to be bound by this legal agreement, including the mandatory arbitration provision set forth herein.
1. Statement of Technological Intermediation (Nature of the Service)
You explicitly acknowledge and agree that Got Ride? LLC is a technology company and NOT a transportation, logistics, or public/private transit operator. The Platform functions solely and exclusively as a digital intermediation service that connects users who require a ride service ("Users") with independent registered private drivers who offer such services on their own account ("Drivers / Independent Drivers").
The Company does not employ Drivers, does not own passenger transport vehicles, and does not manage route logistics. The contractual relationship for the ride service occurs directly and exclusively between the User and the Independent Driver.
2. Limitation of Liability
To the maximum extent permitted by applicable law, Got Ride? LLC, its partners, founders, officers, employees, and software factory developers shall not be liable for any direct, indirect, incidental, punitive, or consequential damages arising from:
- The behavior, actions, omissions, negligence, or misconduct of Independent Drivers or Users during the physical transit service.
- Any traffic accident, delay, bodily injury, death, or loss and damage of personal belongings occurring inside the vehicles of Third-Party Providers.
- Technical disruptions in the software, geolocation failures, or connection errors within the Platform.
3. User Account Requirements and Registration
To access most aspects of the Services, you must register and maintain an active personal User account. By registering, you warrant the following:
- To be at least 18 years of age. It is strictly prohibited for minors to travel alone or use the Platform without the direct supervision of an adult account holder.
- To provide true, accurate, and up-to-date information (name, phone number, email address, and a valid payment method).
- To maintain the confidentiality and security of your account username and password, assuming full responsibility for all activities that occur under your credentials.
4. Mandatory Requirements for Independent Drivers
Any individual registering on the Platform as a Driver must comply with and maintain the following legal and operational requirements to preserve their access to the system:
- Hold an official and valid driver's license issued by the appropriate authority for the type of service provided.
- Own a vehicle that meets the year, mechanical condition, safety, and aesthetic standards determined periodically by the Platform.
- Maintain a valid comprehensive insurance policy that explicitly covers passenger transportation via technological applications (ridesharing/ERT insurance or equivalent).
- Background Screening Framework (US Operators): Provide valid criminal background check clearances and pass the identity validation filters. In the United States, Drivers explicitly consent to undergoing criminal background checks and Motor Vehicle Record (MVR) evaluations managed by accredited consumer reporting agencies in compliance with the Fair Credit Reporting Act (FCRA) and applicable state TNC regulations.
5. Payment Terms, Fares, and Fees
Fare Calculation: The cost of rides will be calculated by the Platform's algorithm based on factors such as distance, estimated travel time, traffic, and a dynamic surge pricing factor if applicable, except under direct negotiation modalities authorized by the system.
- Payment Processing: User payments will be securely managed and integrated through third-party payment gateways (such as Stripe). By entering a card, the User authorizes the corresponding charges for the ride, cancellation fees, or incurred tolls.
- Technology Fee: The Company will retain a commission or percentage for the use of the Platform on each successfully completed trip, dispersing the corresponding net balance to the Driver according to established payment schedules.
- Cancellation Fees: If a User cancels a ride after a permitted courtesy time limit has elapsed following assignment, an automatic cancellation fee will apply to compensate the Driver's time and transit.
6. GPS and Background Geolocation Usage
The core functionality of the Platform requires continuous geographical tracking of User and Driver devices. Specifically for Drivers, the system will collect and transmit location data in the background, even when the mobile app is closed or not in direct operational use, to allow route safety monitoring, efficient dispatch of requests, and accurate fare calculation. By accepting these terms, you grant your express consent to such geolocation tracking.
7. Code of Conduct, Safety, and Zero Tolerance Policies
The Company reserves the exclusive right of admission and permanence on the Platform. The following conducts shall be grounds for immediate suspension or permanent termination of any User or Driver account:
- Any act of harassment, verbal or physical violence, or inappropriate behavior toward any person within the app's ecosystem.
- Non-Discrimination and Service Animals: Discrimination against any individual based on race, gender, religion, national origin, disability, or sexual orientation is strictly prohibited. In compliance with the Americans with Disabilities Act (ADA) and state laws, Drivers are legally obligated to accommodate Passengers traveling with service animals without additional fees or penalties.
- Zero Tolerance for Drug and Alcohol Use: The Company maintains a strict zero-tolerance policy regarding the use of drugs or alcohol by Drivers while operating on the Platform. Any credible passenger report indicating a Driver is under the influence will result in immediate suspension pending investigation.
- Attempting to circumvent the Platform's payment system by taking or charging for a ride outside the application after being digitally connected.
- The use of cloned accounts, lending one's account to third parties, or falsifying legal documentation and identity.
8. Intellectual Property
The entire software structure, source code, algorithms, interface designs (UX/UI), logos, texts, trademarks, and multimedia material of the Platform are the exclusive property of Got Ride? LLC or its respective technological licensors (such as its partner software factory). Use of the app grants only a personal, revocable, non-exclusive, and non-transferable license to use, strictly prohibiting any attempt at reverse engineering, copying, or distribution without formal written authorization.
9. Mandatory Arbitration and Class Action Waiver (US Jurisdiction)
Please read this section carefully — it affects your legal rights.
All disputes, claims, or controversies arising out of or relating to these Terms, the breach thereof, or the use of the Platform shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The place of arbitration shall be the state of corporate incorporation of Got Ride? LLC, unless otherwise mutually agreed. The arbitrator's decision shall be final and binding.
Class Action Waiver: You and The Company explicitly agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of a class proceeding.
10. Modifications to the Terms
The Company reserves the right to modify these Terms at any time. Modifications will be effective immediately upon publication of the updated Terms in this section or within the mobile application. Continued use of the Platform after such changes will constitute your express acceptance of the new Terms.
11. Governing Law and Jurisdiction
For the interpretation, compliance, and resolution of any legal controversy not covered by the arbitration provision, these Terms shall be governed by and construed in accordance with the laws of the State of Delaware (or the state where Got Ride? LLC is corporately registered), without giving effect to any choice of law principles. The parties submit to the personal jurisdiction of and exclusive venue in the state and federal courts located within that jurisdiction.
